Where you have registered on the SADAKA network Website and have been provided with a username and password, you agree not to make available your username and/or password to anyone. REGISTRATION & SIGN UP & EXPOSURE TO DATA

If you are a  leader and/or institution and/or any other entity appearing at SADAKA network platform under section such as but not limited to;  Ambassador, Media, Partners (considered by SADAKA network as “Content Provider/s” and/or “Entity”) who will be registered to the system by a SADAKA network representative and/or you are a user who signs up to any of SADAKA network services only to receive content (mainly via SMS and/or email), and/or you are a user who is registered to SADAKA network services as a member and/or follower, you may only use the material and/or data presented and/or sent to you by SADAKA network for non-commercial use.   

As a user who register as a member/follower to any of the entities presented under SADAKA network platform (such as but not limited to; Ambassador, Media, Partners) the phone number (for local users) and the email (for international users) provided by you at the registration process will be used by SADAKA network system to recognize you and grant you access and/or information and/or any other as part of the services provided to user/s by SADAKA network platform.

You may not: 
1. remove and/or alter any means of identification and/or disclaimers as they appear in the material sent to you; 
2. systematically make printed and/or electronic copies of multiple extracts of the material-content for any purpose except as permitted by law and/or as authorised by SADAKA network in writing; 
3. display and/or distribute any part of the material-content on any electronic network, including without limitation the Internet and the World Wide Web; 
4. permit anyone to access and/or use the material-content;
5. use all or any part of the material-content for any commercial use.

Any material, data, information and/or any other, that was collected and/or provided and/or presented by SADAKA network in any way and/or in any form shall be and remain the sole property of SADAKA network.

SADAKA network, in order to protect the users and/or any other entity using SADAKA network services, shall decide on its sole desecration if and what information/data to provide and to which entity.

Some information/data is prohibited to be provided by SADAKA network to any entity due to restriction of regulations and/or agreements that SADAKA network is obligated to.

In some cases, SADAKA network will make such information available indirectly via SADAKA network system. 

Should any Content Provider, Entity, User and/or any other decide to stop using SADAKA network services and/or to cooperate with SADAKA network directly then such entity will not be able to use that material, data, information and/or any other in any way and/or in any form.

We at SADAKA network do not collect personal information about you, unless you provide us that information voluntarily (mainly online).

Examples of when we collect personal information include when a user chooses to support one of the SADAKA network Charity initiatives and/or buying an item and/or anything sells online, user registration, when a user adds their name to one of our mailing lists etc.

SIGN UP, REGISTRATION AND ONLINE PURCHASE

On certain parts of SADAKA network website (mainly during registration, support contribution of Charity, giving donation, online orders for products and/or services), users are required to provide contact information (such as names, phone number and e-mail addresses) and in some cases  unique identifiers (such as username and passwords).

The contact information may also be used to contact the user when necessary.

Unique identifiers (such as username and passwords) are collected for our record.

Account information submitted by users may be used to verify and protect users' identity when they are conducting online activity through our website.

COMMUNICATION WITH USER AND/OR THIRD PARTY VIA SMS

Once a user provides his contact information, the user approves and accepts the Privacy Policy and Terms of Use and grants authorization to SADAKA network to send him SMS and/or email messages at any given time (day, night, weekend, public holidays and at any other) to any of the contact information provided.

The messages sent shall mainly be: a) Content and/or information and/or data as part of the service that the user has requested; b) Messages that the User is entitled to, due to any of his actions such as contribution- support to any of the initiatives presented under the platform ; c) Informative messages regarding the User and/or SADAKA network.

If a User provides third party contact details, they understand that by doing so the information and/or data as part of SADAKA network services will be sent to this third party, it shall be the User’s sole responsibility to notify the third party and get his/her approval to do so prior to providing the third party contact details as part of SADAKA network services.

As required in certain situations, in some of the times a preliminary message will be sent to the User, this informative message will contain the following:

  • The Identity of the sender.
  • The purpose.
  • Explanation of the opt-out option to reject further communication.
  • An ability to approve or reject the receipt of current message content.

The User will have the ability to approve or reject the receipt of the current message content by pressing ACCEPT or DECLINE.

MONEY COLLECTION, MONEY DISBURSEMENT, COMPENSATION

SADAKA network provides various services online via its web site and/or by SMS communication and/or by any other method.

Some of the services, such as but not limited to; Changia-Donate, Baraka, Muongozo, Maombi, Store involve money transfer for but not limited to; charity, Support initiatives, purchase of goods.

SADAKA network collects the money transfer through its system and disburses it to all content provider/s and/or to the initiative implementation service provider.

Funds transfer fee deduction will be done by the merchant service provider as per the user chosen of payment method (Via Payment card, cellular method and/or other) and in some cases by SADAKA network to be transferred to the merchant service provider.

In order to maintain its operations, high level of services and additional developments required with respect to it’s provided services, SADAKA network shall collect a fee from each money transfer in accordance with the services it provides except in the case of Changia-Donation service (Suporting community initiatives).

Once a user transferring funds to any of the services provided by, SADAKA network via any method made available by SADAKA network, the user approves and accepts the SADAKA network's Privacy Policy and Terms of Use.

 

RETURN & REFUND POLICY 

Purchase of physical product:

Returns; You have ​30 (thirty)​ calendar days to return an item from the date you received it.  To be eligible for a return, your item must be unused and in the same condition that you received it. Your item must be in the original packaging. Your item needs to have the receipt or proof of purchase. 

Refund; Once we receive your item, we will inspect it and notify you that we have received your returned item. We will immediately notify you on the status of your refund after inspection of the item by the manufacture and/or seller. 

If your return is approved, we will initiate a refund to your credit card (or original method of payment). You will receive the credit within a certain amount of days, depending on your merchant service provider's policies. 

Shipping; You will be responsible for paying for your own shipping costs for returning your item. Shipping costs are nonrefundable. 

Purchase of digital product / content / service:

Refund for any of the digital product and/or content and/or service will be available only if specified at the product page as per the seller consent.

Supporting initiative.

Once supporting any initiative presented under the SADAKA network platform, the funds will be disbursed in very short time to its designated purpose as per your request and cannot be refunded. 

 

INFORMATION AT PUBLIC COMMUNICATION SUCH AS FORUMS, BLOGS AND OTHERS.

At SADAKA network website there are some services (mainly free) allowing to share comments and other information about a wide variety of issues.

Only individuals older than 18 years of age may participate, and by participating you are certifying that you are indeed above the age of 18

LEADER, INSTITUTION AND ENTITIES COLABORATION

If you are a leader and/or institution and/or any other entity collaborating with SADAKA network under agreement signed directly and/or indirectly through a third party (Velvet Events Consultants Ltd) you will appear at SADAKA network platform under sections such as but not limited to; Ambassador, Media, Partners.

By signing such agreement, you approve, accepts and will comply with the SADAKA network’s Privacy Policy and Terms of Use and with any additional and/or extended information, data and/or any other that appear here.

 

AGREEMET MAIN POINTS

1) Obligations of the Parties under the agreement:

  • The Ambassador and/or Media and/or Partner and/or Service Receiver (from one side);
  1. represents that it is free to contract with the other party to promote the VAS and that the agreement will not violate any agreement or restriction to which he may be subject.
  2. Agrees to promote exclusively the VAS under the Agreement in a strictly ethical and legal manner in accordance with all applicable laws and regulations of the country it’s operating at.
  3. shall not delegate and/or assign all or any part of its obligations and/or functions and/or rights under the agreement without first obtaining the other side to the agreement written consent thereto.
  4. will provide to the other party all support, assistance and cooperation required to allow it to better provide the VAS.
  5. undertakes that he will not seek to compete with and/or circumvent the other party and will obey with the “Confidential Information” terms appear at the Terms of Use at the SADAKA network web site.
  • The Service Provider and/or SADAKA network and/or NGO (from the other side);
  1. will furnish from time to time to the other side promotional materials such as, catalogs, brochures and others sales information and/or material.
  2. shall provide to the best of its effort to the other party all services and information in regarding to the VAS during the terms of this agreement.
  3. has the right to add and/or remove any service/s in regarding to the VAS on its sole discretion, the other party will approve which of the VAS services he will promote under him.
  4. has the right to contract (before and/or after the Effective Date of the Agreement) with any third parties in order to provide to them the VAS (enter into new contractual relationships) provided that no such action relieve the service provider from its obligations herein.

2) Relationship

Nothing in this Agreement shall be deemed or construed as creating a joint venture and/or partnership between the Parties. Neither Party is by virtue of this Agreement authorized as an agent, employee and/or legal representative of the other Party and the relationship of the Parties is and at all times will continue to be that of independent contractors. Neither Party shall be liable to any third party in any way for any engagement, obligation, contract, representation and/or transaction and/or for any act and/or omission to act of the other. Each Party shall indemnify the other and hold it harmless against and from any liabilities as aforesaid.

3) Information & Data.

Any material, data, and/or any other information in regarding, that was collected and/or provided and/or presented by service provider via the web site and/or in any other way and/or in any form shall be and remain the sole property of the service provider.

The service provider in order to protect the users and/or any other entity using the VAS, shall decide on its sole desecration if and what information/data to provide and to which entity.

Some of the information/data is prohibited to be provided by service provider to any entity due to restriction of the regulation and/or agreements that the service provider is obligated to.

In some cases, the service provider will make available the use of such information indirectly via its web site and/or any other system.

The service provider will have the exclusive right to promote and/or sell and/or distribute the Ambassador products agreed upon and indicated in annex C.  

The Ambassador agree to take part in photography and/or videography being conducted by the service provider or any one on his behalf that will be used locally and/or internationally as part of the service provider promotional and publicity materials including advertising.

 4) Each party shall not have the authority to bind the other party to any legal obligation and shall not make any promises, representations and/or warranties on behalf of the other party.

 5) Money collection & Compensation.

  1. The service provider provides various services online mainly via its web site and/or by SMS communication and/or by any other method. Some of the services such as but not limited to; Donate, Baraka, Muongozo, Maombi, Store, involves money transfer for but not limited to; charity, donation, initiative support, purchase of goods and/or services (the “money transfer”).
  2. The service provider will collect that money transfer through its system/s and if required to, first will disburse it to cover all cost involved, such as but not limited to; Government entities, cellular providers, aggregators and others in regarding such money transfer (the “money transfer cost”).
  3. The money transfer remains after the disbursement of the money transfer cost (the “net money transfer”) will be transferred to the service receiver after the service provider collected his fee/commission (if applicable).
  4. In order to maintain its operation, high level of services, additional developments and all additional that require in regarding to its VAS and/or additional provided services, the service provider shall keep a certain fee from the money transfer its collects as part of the VAS its provide for the service receiver (hereinafter: the "Fee” and/or “Commission").
  5. The money transfer cost, the fee/commission of the service provider and service receiver, the term of transfer to the service receiver and additional will be indicated at the Annex to the agreement.
  6. The fees provided for under this Section and under the annex shall constitute the total and exclusive compensation transfer by service provider to service receiver.
  7. Each of the parties shall assume full responsibility for payment of all taxes, withholdings, and any other sums that may be due to any governmental authority.

 6) Notice.

All notices and other communications required and/or desired to be communicated by one Party to the other Party shall be in writing, in English and shall be deemed given when sent by manual delivery with return confirmation requested, email with return confirmation, or ten (10) days after express mailing by registered airmail (postage prepaid) to the respective addresses set forth below or to such other addresses as may be designated in writing by a Party to the other Party: provided, however, that any notice of change of address shall be effective only upon receipt and confirmation of receipts by the other Party.

7) Force Majeure.

Neither Party will be liable for delays or failure to perform its obligation if due to any cause or conditions beyond its reasonable control, including delays or failures due to acts of God, natural disasters, acts of civil or military authority, fire, flood, earthquake, strikes, wars, or utility disruptions (shortage of power).

8) Term & Termination.

The term of this Agreement will begin on the Effective date and will continue until terminated by any party.

Each Party may terminate this Agreement in writing thirty (30) days in advance notice to the other party.

9) Choice of Law, Arbitration, Jurisdiction.

The validity, construction, interpretation and enforcement of this agreement and any document or agreement contemplated herein and all rights, remedies, powers, obligations and liabilities hereunder shall be governed by the law of the country you operate. If any dispute occurs between the parties arising out of or relating to this Agreement or its execution or performance which cannot be amicably resolved within sixty (60) days after the date of one party’s notice to the other in relation to the existence of the dispute, whether such dispute is in contract, tort or otherwise, the parties agree to forward the dispute to arbitration who will be acceptable by both parties in accordance with the Arbitration laws of the country you operate. Such arbitration shall be conducted in the English language and shall be held in the country you operate by one arbitrator. The award rendered by the arbitrators shall be final and binding upon the parties.

10) Construction.

The headings of the Sections herein are inserted for convenience of reference only and are not intended to be a part of or to affect the meaning or interpretation of the Agreement.  

11) Counterparts.

The Agreement may be executed in one or more counterparts, each of which will be deemed to be an original but all of which will constitute one and the same agreement.

12) Parties Obligated and Benefited.

The Agreement will be binding upon the Parties hereto and their respective permitted assigns and successors in interest and will continue solely to the benefit of such Parties and their respective permitted assigns and successors in interest, and no other Person.

 

MISUSE OF THE WEBSITE/PLATFORM

You are prohibited from posting and/or transmitting to and/or from the Website any material: 
• that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance and/or inconvenience;

GOVERNING LAW 
By using SADAKA network website and/or services you agree that all legal issues in related shall be exclusively governed in accordance with the laws of and the courts in England and Wales.
